The District\n    is divided into five divisions, and it is governed by a five-member Board of\n    Directors \u2014 one director elected from each division \u2014 who set policy, adopt the\n    budget, and direct the District's operations. Here is how those seats are filled and\n    how the Board is organized.\n  <\/p>\n\n  <div class=\"kid-gov__item\">\n    <span class=\"kid-gov__tag\">ORS 545.043 \u00b7 545.187 \u00b7 Bylaws Art. 2<\/span>\n    <p class=\"kid-gov__q\">Who can serve<\/p>\n    <p>\n      Every director must be a resident of Oregon and a bona fide owner of land within\n      the division they represent \u2014 or an authorized shareholder of a corporation that\n      owns such land. A director who later moves out of state, or who no longer owns\n      qualifying land in the division, automatically leaves the seat, which is then\n      filled as a vacancy.\n    <\/p>\n  <\/div>\n\n  <div class=\"kid-gov__item\">\n    <span class=\"kid-gov__tag\">ORS 545.135 \u00b7 Bylaws Art. 2 & 6<\/span>\n    <p class=\"kid-gov__q\">How directors are elected<\/p>\n    <p>\n      Directors are chosen by the voters of their own division, not by the District as a\n      whole. The District holds an election on the second Tuesday of November each year,\n      with one or more seats on the ballot. Each term runs three years, and the terms are\n      staggered so that no more than two seats come up in any single year. The District provides nomination petitions and other appropriate\n      assistance to prospective candidates, though District employees do not give legal\n      advice. The election itself is conducted under ORS 545.135 to 545.153.\n    <\/p>\n  <\/div>\n\n  <div class=\"kid-gov__item\">\n    <span class=\"kid-gov__tag\">ORS 545.007 \u00b7 Bylaws Art. 5<\/span>\n    <p class=\"kid-gov__q\">Who votes, and how votes are weighted<\/p>\n    <p>\n      An elector is any person 18 or older who owns \u2014 or is buying under a recorded\n      contract \u2014 land within the District that is subject to its charges. Voting rights\n      run with that land ownership rather than with general residency, and proxy voting is\n      not allowed. Each ownership casts a single bloc of votes based on the acreage it\n      holds. Land owned jointly, or by a company, votes as one owner through an authorized\n      representative, and when the District votes by division for that division's director,\n      only the qualified voters of that division take part.\n    <\/p>\n    <ul class=\"kid-gov__votes\">\n      <li>Up to 40 acres \u2192 1 vote<\/li>\n      <li>40 to 160 acres \u2192 2 votes<\/li>\n      <li>More than 160 acres \u2192 3 votes<\/li>\n    <\/ul>\n  <\/div>\n\n  <div class=\"kid-gov__item\">\n    <span class=\"kid-gov__tag\">ORS 545.188 \u00b7 Bylaws Art. 3<\/span>\n    <p class=\"kid-gov__q\">How a vacancy is filled<\/p>\n    <p>\n      If a seat opens mid-term for any reason, the remaining directors appoint a qualified\n      person from the same division to hold the seat temporarily. The division's voters\n      then elect a permanent successor at the next District election, and that successor\n      finishes the remainder of the original three-year term.\n    <\/p>\n  <\/div>\n\n  <div class=\"kid-gov__item\">\n    <span class=\"kid-gov__tag\">Bylaws Art. 4<\/span>\n    <p class=\"kid-gov__q\">The Board's officers<\/p>\n    <p>\n      Each January, at its annual organizational meeting, the Board elects its officers to\n      one-year terms: a President, a Vice-President, and a Secretary. The President and\n      Vice-President must be sitting directors. The President presides over meetings and\n      signs District documents, the Vice-President steps in when the President is absent,\n      and the Secretary keeps the official records, conducts District elections, and oversees\n      the District's funds, charges, and assessments \u2014 an office described in more detail\n      below.\n    <\/p>\n  <\/div>\n\n  <div class=\"kid-gov__item\">\n    <span class=\"kid-gov__tag\">Bylaws Art. 3 & 7<\/span>\n    <p class=\"kid-gov__q\">How the District is run day to day<\/p>\n    <p>\n      Day to day, the District is run by a full-time District Manager \u2014 the \u201cManager\u201d\n      described in the Bylaws \u2014 who oversees operations, supervises staff, prepares the\n      budget for the Board, and carries out Board policy. The Board itself meets in regular\n      monthly public meetings, with its annual organizational meeting held the first Tuesday\n      of January. A majority of directors is a quorum, and it takes the affirmative vote of\n      three directors to approve any action. All meetings are open to the public under\n      Oregon's Public Meeting Law, except for closed sessions allowed by law.\n    <\/p>\n  <\/div>\n\n  <div class=\"kid-gov__item\">\n    <span class=\"kid-gov__tag\">Bylaws Art. 4 \u00b7 Financial Policy (2025)<\/span>\n    <p class=\"kid-gov__q\">The Secretary<\/p>\n    <p>\n      The Secretary is a standing official office of the Board, kept separate from any one\n      staff job. By resolution, the Board may appoint as its Secretary an elected director,\n      the District Manager, or the Executive Director. At KID, the Board currently has the\n      Executive Director serve as the Secretary.\n    <\/p>\n    <p>\n      When the District is not in constant conflict \u2014 and does not need sustained advocacy\n      in Washington, D.C., Salem, Sacramento, and other lobbying forums \u2014 the District\n      Manager can effectively manage the District and carry the secretarial duties as well,\n      and no Executive Director is needed. That is not the situation today, so the Board has\n      filled the Executive Director position. The District is working hard to build the\n      stability that would let this position be eliminated in the near future.\n    <\/p>\n    <p>\n      The Executive Director is a separate, optional position the Board fills only when the\n      District needs a full-time advocate in local, state, and federal affairs beyond what\n      the Board itself can cover. It is defined not in state law or the Bylaws but in the\n      District's adopted Accounting & Financial Policy. The Executive Director helps the\n      Board shape and carry out a long-term strategic vision; the position is not required\n      for the District's day-to-day operations and maintenance, and it is
